1. Acceptance of Terms

By accessing or using AssetHawk's QR infrastructure platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

AssetHawk provides a comprehensive QR code infrastructure platform that enables users to:

  • Create, manage, and track QR codes
  • Access analytics and performance data
  • Integrate QR functionality via APIs
  • Configure webhooks and notifications
  • Customize QR codes with logos and branding

3. User Accounts

Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for safeguarding the password and for maintaining the confidentiality of your account. You agree not to disclose your password to any third party and to take sole responsibility for activities that occur under your account.

Account Termination

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable federal, state, local, or international law or regulation
  • Create QR codes that link to illegal, harmful, or offensive content
  • Infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • Submit false or misleading information
  • Upload viruses or other malicious code
  • Spam, phish, farm, or otherwise engage in prohibited practices
  • Interfere with or circumvent security features of the Service
  • Use the Service for any automated data collection activities

5. Subscription Plans and Billing

Plan Types

We offer various subscription plans with different features and usage limits. The specific features and limitations of each plan are detailed on our pricing page.

Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as specifically permitted in these Terms.

Changes to Plans

We reserve the right to modify our pricing and plans at any time. We will provide at least 30 days' notice before any changes to subscription fees take effect.

6. Intellectual Property Rights

Our Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of AssetHawk and its licensors. The Service is protected by copyright, trademark, and other laws.

Your Content

You retain ownership of any content you create using our Service, including QR codes and associated data. By using our Service, you grant us a limited license to host, store, and display your content as necessary to provide the Service.

User-Generated QR Codes

You are solely responsible for the content of QR codes you create. We do not claim ownership of your QR codes but reserve the right to remove any QR codes that violate these Terms.

7. API Terms

API Access

API access is subject to rate limits and usage restrictions based on your subscription plan. You must use API keys securely and not share them with unauthorized parties.

API Usage

  • Do not exceed rate limits or attempt to circumvent usage restrictions
  • Implement proper error handling and retry logic
  • Cache responses appropriately to minimize unnecessary requests
  • Respect our infrastructure and other users' access to the Service

8. Data and Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.

You are responsible for ensuring that any personal data you process through our Service complies with applicable data protection laws.

9. Service Availability

Uptime

We strive to maintain high availability of our Service but do not guarantee 100% uptime. We provide Service Level Agreements (SLAs) for Enterprise customers.

Maintenance

We reserve the right to perform scheduled maintenance that may temporarily affect Service availability. We will provide advance notice when possible.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ASSETHAWK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to defend, indemnify, and hold harmless AssetHawk and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

13. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

14. Governing Law

These Terms shall be interpreted and governed by the laws of the State of California, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
